Business Law is a core educational activity in the Bachelor's Degree Programme in Economics, curriculum Economics, Markets and Finance.
The course is designed to provide students with a sound understanding of the core aspects of business law, both in a domestic and international perspective.
The course offers a reasoned illustration of the different business organizations and their rules, the harmonization process initiated by the European Union as well as the effects on corporate organizations of regulatory competition and corporate mobility within the EU Single Market. A particular focus will be devoted to the legal framework for corporations.
Participants, upon successfully completing the course, are expected to become acquainted with the basic structure and functioning of business organizations, with a particular focus on corporations, develop analytical tools instrumental to managing a business and making strategic decisions in an informed and effective manner, as well as gain awareness on, and understanding of, the policy options underlying legal provisions, also from a comparative perspective. The course will combine the illustration of foundational legal concepts of business and company law and a reasoned analysis of practical cases.
The teaching method, which envisages in-class interaction, the analysis of case studies, workshops, and group activities, is designed to promote the participants’ critical thinking and develop teamwork skills.
Mandatory priority exams: European Private Law.

- firm's owners vs. managers,
- majority shareholders vs. minority shareholders,
- firms vs. stakeholders;
- related-party transactions;
- fundamental changes;
- control transactions;
- Corporate Law and Securities Market Law.

Other materials, articles, working papers will be indicated by the teacher during the course and uploaded in the Moodle page of the course, together with the slides that will be used during the lectures.
The assessment method is based on a final written exam. The questions will be designed to test both theoretical understanding and practical ability to apply legal notions.ritten exam.

The test consists of: multiple choice test. 11 questions. A correct answer will get 3 points, an incorrect answer will get -1 point, no point for no answer. The first two incorrect answers will not be counted.

The instructor is responsible for ensuring the authenticity and originality of all examinations and coursework. In cases of suspected academic misconduct, an additional on-site assessment may be required during the exams, which may differ from the standard format.

Regarding the grading scale (how grades will be assigned), regardless of attending or non-attending status:

A. scores in the 18–22 range will be awarded in the presence of:

sufficient knowledge and applied understanding with reference to the syllabus;

limited ability to collect and/or interpret data, formulating independent judgments;

B. scores in the 23–26 range will be awarded in the presence of:

fair knowledge and applied understanding with reference to the syllabus;

fair ability to collect and/or interpret data, formulating independent judgments;

C. scores in the 27–30 range will be awarded in the presence of:
good or excellent knowledge and applied understanding with reference to the syllabus;
good or excellent ability to collect and/or interpret data

D. honours (30L) will be awarded in the presence of excellent knowledge and applied understanding with reference to the syllabus, excellent judgment
Traditional frontal teaching is supplemented with dialogic discussion in order to stimulate the active role by the students. Particular attention will be also given to the critical analysis of real cases.
PowerPoint presentations, videos, case studies, readings and materials uploaded to the moodle e-learning platform.
Students are encouraged to actively attend classes.
