The course aims to illustrate the general features of international trade law, its recent regulatory and institutional developments, in order to provide students with the necessary and indispensable elements to know the subjects, sources and operational tools of import-export. The course is also dedicated to the study of subjects, sources, conflict rules, with specific reference to those relating to the international contract, methods of dispute resolution and international arbitration (commercial and investment). The role of the State and private actors in international trade, the structures and objectives of the main international economic organizations will be examined, subjects that have always been the subject of international disciplines and that today, more than in the past, continue to characterize the international community in a significant way.
The course studies transnational relations of companies based on international contracts, examining international sales contracts, applications of Incoterms® 2020, transport, insurance, commercial distribution contracts, payments and bank guarantees in the perspective of private international law and best practice.
The course also illustrates the discipline of foreign direct investment in the light of the latest regulatory and jurisprudential innovations and, in the last part, examines international mediation and arbitration, ADR mechanisms and the most relevant international rules of civil procedural law for companies operating abroad.

4. Technical and argumentative skills suitable for the drafting of import/export contracts also with a view to resolving disputes before the judicial, Customs Authorities or in the event of international arbitration
5. Ability to find and read the normative sources and case-law even through the main websites.
A basic knowledge of Private Law, Public Law and Commercial Law is helpful.
This course introduces business students to the legal implications of transacting business across national borders. The focus will be on transactional international business law, including the legal environment of international business, international contracting, importing-exporting, trade finance and international intellectual property law and licensing.
The student will gain an appreciation of the special risks of conducting business internationally and the legal pitfalls associated with those risks. The course’s subject matter is divided into four segments: (1) Actors and Sources of International Trade and Business Law, (2) International Contracting, (3) Exporting
(Documentary and documentary credit transactions), and (4) Intellectual Property Transfer (Licensing).
An overarching goal of the course is to investigate ways of minimizing the legal risks in international business transactions.
