The course is a characterising course of the Bachelor's Degree Programme in Economics and Management.
It aims at explaining the enterprise and its different forms (sole proprietorship, partnership, company), and it will focus on the core legal aspects of a business. Company law will be the most significant part of the course.
1. Knowledge and understanding
1.1 Knowledge of the business activity in both forms of sole ownership and partnership.
1.2 Knowledge of the legal aspects of the business activity.
1.3 Knowledge and analysis of the organisational and functional structure of commercial companies.
2. Applied skills of knowledge and understanding
2.1 Capability of distinction of the various figures of entrepreneur on the basis of nature, dimension and form of the activity.
2.2 Capability of identification of the proper rules for every figure of entrepreneur.
2.3 Comprehension of the various forms of enterprise from the point of view of organisation and functions.
3. Evaluation
3.1 Comprehension of the text of the law.
3.2 Capability of evaluation of the legal consequences of every enterprise’s form choice.
3.3 Capability of balancing the different interests concerning the business activity in sole ownership and in partnership.
4. Communication skills
4.1 Proper reporting of the specific features of commercial law.
4.2 Critical and dialogical interaction with the examiners during the examination.
Students must know the fundamentals of private law.
1. Entrepreneur and enterprise.
2. Business and non-business entrepreneur. The rules set forth for business enterprises.
3. Business assets.
4. Trademarks and competition law.
5. The company, in general.
6. The partnership (general partnerships and limited partnerships).
7. Joint-stock companies.
7.1. Financial corporate structure (shares; bonds; assets intended for a specific business affair).
7.2. Shareholders’ meeting.
7.3. Management and supervisory bodies.
8. Limited liability company.

If necessary, additional learning material will be uploaded to the Moodle plat-form.

The final exam consists exclusively in an oral test in order to verify the knowledge and comprehension of the course contents, the proper reporting of them and the ability of consulting legal texts.

Marks will be awarded as follows for both attending and non-attending students:
A. Marks in the range 18–22 will be awarded if the student demonstrates:
- sufficient knowledge of and understanding of the programme;
- limited ability to collect and/or interpret data, and to formulate independent judgements.
- sufficient communication skills, particularly with regard to the use of specific commercial law terminology.
B. Scores in the range 23–26 will be awarded if the following criteria are met:
- fair knowledge of, and ability to apply, the programme;
- a fair ability to collect and/or interpret data and formulate independent judgements;
- fair communication skills, particularly with regard to the use of specific commercial law terminology.
C. Scores in the range 27–30 will be awarded if:
- good or excellent knowledge of, and ability to apply, the programme;
- good or excellent ability to collect and/or interpret data and formulate independent judgements;
- fully appropriate communication skills, especially in relation to the use of specific banking terminology.
D. Honours will be awarded for knowledge and understanding of the programme, excellent judgement, and excellent communication skills.
